Terms & Conditions
1. Definitions:
- "Company" refers to Jaydepelly.co and JDP SOFTWARE SOLUTIONS.
- "Client" refers to the individual or entity receiving services from the Company.
2. Scope of Services:
- The Company agrees to provide the services specified in the agreed-upon contract or proposal.
- Any additional services or changes must be agreed upon in writing and may result in additional charges.
3. Payment:
- Payment terms, including the total cost and payment schedule, will be outlined in the agreed-upon contract.
- The Client agrees to pay 50% of the total cost upfront upon signing this Agreement, and the remaining 50% upon completion of the services.
- Late payments may incur additional charges.
- The Company operates under a strict no-refund policy. Once payment is made, it is non-refundable, irrespective of project completion or client satisfaction.

4. Intellectual Property:
- The Company retains ownership of all intellectual property, including but not limited to designs, code, and creative work, unless otherwise specified in writing.
5. Confidentiality:
- Both parties agree to keep confidential information shared during the course of the project, including business strategies, proprietary information, and project details.
6. Termination:
- Either party may terminate the contract in writing with notice.
- Termination may result in fees for work completed up to that point.
7. Compliance with Laws:
- The Company agrees to adhere to all Canadian federal and provincial laws relevant to the services provided.
8. Dispute Resolution:
- Any disputes arising from this agreement will be resolved through negotiation in good faith.
- If resolution cannot be reached, disputes will be referred to arbitration in accordance with Canadian law.
9. Liability:
- The Company's liability for any claims related to the services provided is limited to the total fees paid by the Client.
10. Governing Law:
- This agreement is governed by and construed in accordance with the laws of the province of Saskatchewan, Canada.
11. Amendments:
- These terms and conditions may be amended with the mutual written consent of both parties.
12. Service Interruption for Non-Payment:
- If the Client fails to make timely payments, the Company reserves the right to temporarily disrupt services until payment is received.
- The Company will hold any upfront payment until full payment is made.

14. Entire Agreement:
- This agreement constitutes the entire understanding between the Company and the Client and supersedes any prior agreements or understandings.
By engaging in our services, the Client acknowledges and agrees to these terms and conditions.
